Terms and Conditions of Spatial Companion

These Terms and Conditions ("Terms") govern:

  • the use of the Spatial Companion application ("Spatial Companion" or the "App"); and
  • any related services, features, portals, and websites provided by DILIUM srl in connection with Spatial Companion (collectively, the "Service").

These Terms form a legally binding agreement between you ("User", "you") and the Owner (defined below). Please read these Terms carefully. If you do not agree, do not download, install, access, or use the App or Service.

1. Owner and contact information

2. Definitions

  • App / Application: the Spatial Companion software application for iOS and any compatible versions for iPadOS and macOS, as made available by the Owner.
  • Service: the App and any related platform features (including content upload/management, remote orchestration, feedback collection, and account features) provided by the Owner.
  • Apple Vision Pro App: the Spatial Companion application for Apple Vision Pro (visionOS), when used together with the App.
  • Content: any material uploaded, imported, linked, created, or managed through the Service (e.g., 3D models, media, immersive scenes, Reality Composer scenes, PDFs, websites/URLs, and other digital materials).
  • Organizer: a User who sets up, manages, or controls an experience for others (e.g., at events, exhibitions, schools, retail, cultural spaces, corporate training).
  • Participant: a person who experiences content guided or controlled by an Organizer (for example, using Apple Vision Pro).
  • PRO / Pro features: optional features unlocked via in-app purchases or subscriptions (where available).
  • Enterprise Plan: a plan offered by the Owner under a separate commercial agreement for advanced use cases and features (where available).
  • Consumer: a User who qualifies as a consumer under applicable law.

3. About Spatial Companion

Spatial Companion is a control center for managing and guiding Spatial Computing experiences, designed for exhibitors, brands, schools, and organizations. Depending on your device, plan, and configuration, the Service may allow you to:

  • upload, organize, and prepare Content from iPhone, iPad, or Mac;
  • make Content available for presentation in experiences on Apple Vision Pro;
  • orchestrate sessions and remotely guide Participants in real time;
  • choose whether Participants can interact (e.g., draw or manipulate 3D objects) or remain passive during guided sessions;
  • collect feedback after experiences; and
  • use the same account across supported devices.

Features may vary by device, operating system version, region, and plan, and may change over time.

4. Acceptance of these Terms

By downloading, installing, accessing, or using the App or Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

5. Eligibility and lawful use

You may use the Service only if you are legally capable of entering into a binding agreement and only in compliance with applicable laws and regulations.

The Service is intended primarily for professional and organizational use. Organizers are responsible for how they use the Service with Participants.

6. Accounts, credentials, and security

  • Account creation: Some features require you to create an account and provide accurate information.
  • Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  • Unauthorized access: You must notify the Owner promptly if you suspect that your account or credentials have been compromised.
  • Account limits: The Owner may restrict account creation, limit concurrent sessions, or apply fair-use thresholds to protect the Service and other Users.

7. Content: ownership, responsibilities, and permissions

7.1 Your Content and your responsibilities

You may upload, import, link, or otherwise provide Content through the Service. You are solely responsible for your Content and for ensuring that you have all rights, licenses, permissions, and legal bases necessary to use and provide that Content (including for public display, performance, synchronization, streaming, and distribution to devices used in sessions).

7.2 License you grant to the Owner

You retain ownership of your Content. However, to operate and provide the Service, you grant the Owner a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, adapt (including technical conversion or optimization), and display your Content solely as necessary to provide, maintain, secure, and improve the Service and to perform these Terms.

7.3 Removal and moderation

The Owner may remove, disable access to, or restrict Content where we reasonably believe it is necessary to comply with law, protect Users or third parties, address security risks, or enforce these Terms.

7.4 Backups

You are responsible for maintaining backups of your Content. The Service is not a guaranteed storage or archival system.

8. Remote control, guided sessions, and Participant experience

The Service may allow an Organizer to remotely control, orchestrate, or influence what a Participant sees or can interact with during a session, including on Apple Vision Pro where supported. You acknowledge and agree that:

  • Organizers are solely responsible for running sessions, choosing Content, configuring interaction settings, and ensuring the session is appropriate for Participants and the environment;
  • Organizers must provide any legally required notices and obtain any required consents (including where minors are involved or where feedback and personal data are collected);
  • real-time control depends on network connectivity, device compatibility, and technical conditions, and may be delayed, interrupted, or unavailable; and
  • the Owner does not guarantee uninterrupted, real-time, or error-free performance for remote control features.

9. Feedback and insights

The Service may allow Organizers to collect feedback from Participants after experiences. Organizers are responsible for ensuring they have a lawful basis to collect and process any personal data included in feedback and for providing appropriate notices to Participants.

If you submit suggestions, ideas, or feedback to the Owner about the Service, you grant the Owner the right to use them without restriction or compensation, unless prohibited by law.

10. In-app purchases, subscriptions, and billing

The Service may offer optional in-app purchases ("IAPs"), including subscriptions, to unlock PRO features. Purchases made in the App Store are processed by Apple using your Apple ID.

  • Pricing and availability: Prices and offerings may change and are shown in the App Store purchase flow.
  • Auto-renewal (if applicable): Subscriptions may renew automatically unless canceled at least 24 hours before the end of the current period.
  • Manage/cancel: You can manage or cancel subscriptions in your Apple ID / App Store account settings.
  • Refunds: Refund requests, where available, are handled by Apple under Apple's policies and processes.

11. Enterprise Plan and separate agreements

An Enterprise Plan may be available for advanced needs (for example, advanced sharing, enterprise camera use cases, or the ability to control multiple Apple Vision Pro devices simultaneously). Enterprise features may require a separate written agreement with the Owner. Where a separate agreement exists, it will prevail over these Terms to the extent of any conflict.

12. Acceptable use

You may use the Service only within the scope for which it is provided and in compliance with these Terms and applicable law.

You must not:

  • use the Service to upload or distribute illegal, harmful, infringing, defamatory, or abusive Content;
  • violate any third-party rights (including intellectual property, privacy, publicity, or confidentiality rights);
  • interfere with or disrupt the Service, servers, or networks, including by attempting to bypass security or access controls;
  • reverse engineer, decompile, or attempt to derive source code of the App, except where permitted by mandatory law;
  • use the Service to transmit malware, exploit vulnerabilities, or perform unauthorized scanning;
  • use the Service to impersonate others or misrepresent your affiliation;
  • use the Service in a way that could create unsafe conditions for Participants during live sessions.

13. Intellectual property

The App and Service (including software, interfaces, branding, and documentation) are owned by the Owner or its licensors and are protected by applicable intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works from the App or Service.

Apple, Apple Vision Pro, iPhone, iPad, Mac, and visionOS are trademarks of Apple Inc. The Owner is not affiliated with Apple.

14. Third-party services and external resources

The Service may provide access to third-party resources, links, websites, or services (for example, website links included in Content or third-party integrations). The Owner does not control third-party resources and is not responsible for their availability, content, or terms. Your use of third-party services is at your own risk and may be subject to third-party terms and privacy policies.

15. Privacy and data protection

The Owner processes personal data in connection with the Service. For details about what data we collect, how we use it, and your rights, please refer to the Owner's Privacy Policy. The Privacy Policy forms an integral part of these Terms and is made available within the App and/or where these Terms are published.

16. Service availability, updates, and changes

The Owner may update, modify, add, remove, or discontinue features of the Service at any time to improve performance, security, or compliance, or for operational reasons. The Service may be temporarily unavailable due to maintenance, updates, or factors outside the Owner's reasonable control (for example, network outages or platform changes).

17. Termination and suspension

You may stop using the Service at any time by uninstalling the App and, where applicable, discontinuing use of your account.

The Owner may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, created security risks, or used the Service unlawfully, subject to applicable law. Where feasible, the Owner may provide notice and an opportunity to cure, but this is not always possible (for example, in urgent security situations).

18. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. The Owner does not warrant that the Service will be uninterrupted, error-free, or compatible with every device, workflow, or network condition.

You acknowledge that spatial computing experiences depend on third-party hardware, operating systems, and network environments, and that performance may vary.

19. Limitation of liability

To the maximum extent permitted by applicable law, the Owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, or data, arising out of or related to your use of (or inability to use) the Service.

To the maximum extent permitted by applicable law, the Owner's total liability for any claim arising out of or relating to the Service shall not exceed the amount paid by you to the Owner for the Service (through Apple or otherwise) in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including mandatory consumer protection rights).

20. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Owner, its affiliates, and their directors, officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from:

  • your breach of these Terms;
  • your Content (including any allegation that your Content infringes third-party rights);
  • your misuse of the Service during sessions or with Participants; or
  • your violation of law or third-party rights.

21. Apple App Store terms (App Store distribution)

If you obtained the App through the Apple App Store:

  • these Terms are an agreement between you and the Owner, not Apple;
  • Apple is not responsible for the App or the Service;
  • Apple has no obligation to provide support or maintenance for the App; and
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as a third-party beneficiary.

22. Export compliance

You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. You agree to comply with applicable export control and sanctions laws.

23. Changes to these Terms

The Owner may amend these Terms from time to time. If changes are material, we will provide notice as required by applicable law. Your continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

24. Governing law and jurisdiction

These Terms are governed by the laws of Italy, without regard to conflict of laws principles.

The courts of Milan (Italy) shall have exclusive jurisdiction over disputes arising out of or relating to these Terms, except where mandatory consumer laws provide otherwise (for example, where a Consumer may bring proceedings in their place of residence).

25. Miscellaneous

  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
  • No waiver: Failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment: The Owner may transfer or assign its rights and obligations under these Terms as permitted by law. You may not assign your rights or obligations without the Owner's prior written consent.
  • Entire agreement: These Terms and any documents expressly incorporated by reference (such as the Privacy Policy) constitute the entire agreement between you and the Owner regarding the Service, unless superseded by a separate written enterprise agreement.
